Fees: You agree to pay all fees associated with your selected service plan or project as outlined in your agreement.
Billing: Subscription fees are billed in advance on a monthly or annual basis. Project fees are billed according to the payment schedule in your Statement of Work.
Late Payments: Late payments may result in service suspension and a late fee of 1.5% per month or the maximum allowed by law.
Refunds: Refund policies are outlined in our Refund Policy.
Our IP: All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are owned by KAAYOS LLC and protected by copyright, trademark, and other intellectual property laws.
Your IP: You retain all rights to content and data you provide to us. You grant us a license to use your content solely to provide the Services.
Work Product: Ownership of custom development work will be specified in your Statement of Work. Typically, you own the final deliverables upon full payment, while we retain rights to reusable components and methodologies.

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our relationship. This obligation survives termination of the agreement.
Our Warranty: We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards.
Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAAYOS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless KAAYOS LLC from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.
Term: These Terms remain in effect while you use our Services.
Termination by You: You may terminate your account at any time by providing written notice. Subscription fees are non-refundable except as outlined in our Refund Policy.
Termination by Us: We may suspend or terminate your access to our Services for violation of these Terms, non-payment, or any other reason with appropriate notice.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Wyoming.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our Services. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.
Entire Agreement: These Terms, together with any applicable Statement of Work, constitute the entire agreement between you and KAAYOS LLC.
Severability: If any provision is found to be unenforceable, the remaining provisions will remain in full effect.
Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
